Hereby referred to as (“SEED”, “we”, “us”, “our”).
By accessing or using the Site, you agree to be bound by this Legal Notice and Disclaimer, our Terms of Use and any other policies referenced on the Site (collectively, the “Terms”). If you do not agree to these Terms, do not access or use the Site.

4. Nature of SEED Services
SEED operates as a token launch engine and engine that provides, among other things:
- Strategic advisory relating to token launches and ecosystem design.
- KOL and marketing campaign planning and coordination.
- Creative, branding and content support.
- Operational support around launch execution, timelines and coordination.
- Access to proprietary execution and bundle snipe tooling, where agreed.
- In some cases, funding or capital support in connection with launch activities, subject to separate agreements.
Unless explicitly and separately agreed in writing:
- SEED does not operate a centralized or decentralized exchange.
- SEED does not take custody of user funds on your behalf in a regulated custodial capacity.
- SEED does not guarantee listing, liquidity, price, demand or performance for any token or project.
- SEED does not guarantee that any campaign or launch will achieve specific outcomes or targets.
Where SEED provides tooling or interfaces that interact with blockchains or third party protocols, you are solely responsible for connecting your own wallets and authorizing any transactions.
5. High Risk of Loss in Digital Assets
Trading, investing in or launching cryptocurrencies, tokens, NFTs and related digital assets involves a high level of risk. By accessing or using the Site or any SEED service, you acknowledge and agree that:
- Digital assets can be extremely volatile and may lose substantial or total value in a short period of time.
- There is no guarantee of liquidity, market depth or the ability to exit any position.
- Smart contracts, protocols, blockchains, bridges and other infrastructure may fail, be hacked or exploitably designed.
- Regulatory actions or changes may impact the legality, value, transferability or viability of digital assets.
- Past performance, including of SEED supported launches or campaigns, is not indicative of future results.
You should only participate in token launches or related activities if you fully understand the risks and have the financial ability to bear the risk of loss, including total loss.
6. Funding, Credit and Leverage Disclaimers
SEED may, in some cases, provide or arrange funding, credit or capital support to token launch projects, for example to support marketing, liquidity provisioning or launch execution.
You acknowledge that:
- Any funding or credit is subject to separate written agreements that define the terms, conditions, security interests, repayment obligations, fees and other legal obligations.
- Funding may increase risk, including through leverage, obligations for repayment and potential liquidation or enforcement in adverse scenarios.
- SEED does not guarantee that funding will be available, and any information on the Site about funding capabilities is for informational purposes only and does not constitute a binding commitment.
You are solely responsible for understanding and accepting the legal and financial implications of any funding arrangements you enter into with SEED or third parties.
7. KOLs, Influencers and Third Party Content
SEED may work with key opinion leaders (KOLs), influencers, agencies and other partners to promote or support projects. The Site may refer to or feature:
- Third party KOLs, influencers and ambassadors.
- Third party platforms, tools, protocols, tokens and projects.
- Testimonials, case studies or marketing content provided by third parties.
You understand and agree that:
- KOLs and influencers are independent third parties. Their opinions are their own and do not necessarily reflect the views of SEED.
- Any mention of third party projects or tokens is informational only and does not constitute an endorsement, guarantee or recommendation by SEED.
- SEED is not responsible for statements, claims or representations made by any KOL, influencer, ambassador, partner or third party.
You must conduct your own research on any project or token, regardless of any marketing, KOL campaigns or association with SEED.
8. No Guarantee of Results or Performance
Any examples of past launches, campaigns, case studies, metrics or performance shown on the Site are illustrative only.
SEED does not guarantee, and expressly disclaims any representation or warranty, that:
- Any launch, token, campaign, strategy or service will meet your goals or expectations.
- Any particular trading volume, price level, return, market capitalization, community size or adoption level will be achieved.
- Any specific number or quality of KOLs, users or investors will participate in or support your launch.
All outcomes depend on multiple factors outside SEED’s control, including market conditions, regulatory changes, project execution, team decisions and user behavior.

- You successfully complete any required onboarding or KYC or KYB processes, and
- You and SEED enter into a separate binding written agreement that expressly sets out the scope and nature of the relationship.

11. Eligibility, Restricted Jurisdictions and Compliance

- Persons or entities in any jurisdiction where access to the Site or engagement in digital asset activities would be unlawful, restricted or require licensing that has not been obtained,

SEED may, in its sole discretion, restrict or block access to the Site or specific services for users from certain jurisdictions or categories.
You are solely responsible for:
- Determining whether and how your use of the Site or SEED services is permitted under applicable laws and regulations that apply to you,
- Complying with all such laws and regulations, including but not limited to securities, financial, tax, anti money laundering, counter terrorist financing and sanctions laws.

SEED does not provide tax advice. Any descriptions of tax considerations are general in nature and may not apply to your situation.
You are solely responsible for:
- Determining what taxes, if any, apply to your activities involving tokens, launches, funding, rewards or fees, and
- Collecting, reporting and remitting the correct taxes to the appropriate tax authorities.

While SEED aims to provide accurate and up to date information, the Site and all content are provided on an “as is” and “as available” basis.
SEED does not represent or warrant that:
- The Site or any content is accurate, complete, current or error free,
- The Site will be available, secure or uninterrupted,
- Any defects will be corrected, or
- The Site is free of viruses, vulnerabilities or harmful components.
The Site may contain links or integrations to third party websites, protocols, interfaces, tools or services. SEED does not control and is not responsible for the content, policies, security, availability or practices of any third parties. Accessing any third party is at your sole risk.
14. Intellectual Property
Unless otherwise indicated, SEED owns or licenses all rights, title and interests in and to:
- The Site and its underlying code,
- All branding, logos, trademarks, service marks, names and trade dress associated with SEED,
- All content, text, graphics, designs, interfaces and materials on the Site, excluding user generated or third party content.
You may not use SEED’s intellectual property for any purpose, including for any token, project, product or service, without our prior written consent.
15. Limitation of Liability
To the maximum extent permitted by applicable law:
- SEED and its affiliates, directors, officers, employees, contractors, agents, partners and licensors will not be liable to you or any third party for any indirect, incidental, consequential, special, punitive or exemplary damages, including loss of profits, revenue, goodwill, data or business opportunities, arising out of or related to your use of or inability to use the Site or any SEED services, even if advised of the possibility of such damages.
- In no event will SEED’s aggregate liability arising out of or relating to the Site, its content or these Terms exceed the greater of (a) the total fees, if any, actually paid by you to SEED for the specific service giving rise to the claim during the twelve months preceding the event, or (b) one hundred US dollars (100 USD) or equivalent.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, SEED’s liability will be limited to the maximum extent permitted by applicable law.
